VERTICAL MILE MEMBERSHIP AGREEMENT

BY BECOMING A MEMBER OF THIS SITE YOU AGREE TO ALL TERMS AND CONDITONS AND CODE OF CONDUCT.

NO PICTURES, NO RECORDINGS OF ANY KINDS WITHOUT ALL PARTIES CONSENT PRIOR TO EXPERIENCE OR EVENT.

THE NON-DISCLOSURE AGREEMENT IS AGGRESSIVELY ENFORCED

Vertical Mile (aka Vegas Vertical Mile, VerticalMile.club) is a private social group by association, online organization conducting private activities on the internet as a social organization, which hosts regular events, parties, travel trips, and other activities (herein

“Event(s)”) that is not open to the general public. Group participation is validated by the participation in the online association. Events may be held at private homes, commercial venues, public venues, travel destinations, private vehicles, and other potential locations. Upon entering into this agreement with Vertical Mile all participants executing this agreement agree to the association’s rules and policies pertaining to behavior, membership, hygiene, confidentiality, and code of conduct. Vertical Mile hosts Events and Experiences for those who meet the membership requirements of the online social group sponsored by Vertical Mile which may be held at a private residence, private vehicle, or commercial venue.

Private Group by Association/Membership

Vertical Mile is a private members only group by association of which the association is defined as adult couples and adult women who wish to mingle other adult couples, individuals or groups of couples and individuals ostensibly referred to as “Lifestyle Couples”. Members are not required under any circumstances to interact with other couples or individuals at any level other than that of a social gathering, communicating amongst other like-minded couples in a positive way. Part of this association also makes it clear that those seeking membership, by signing this agreement state that they are not offended by sexual discussions, partial nudity, nudity, and interactions arising therefrom, but are at no time required to participate in such.

Terms & Condition of Membership

Vertical Mile is a private members only group association and online service provided only for individuals 21 years of age and older for the purposes of communicating online or in person with other adults to develop a network of friends and acquaintances for social reasons. As part of this membership, Vertical Mile provides invitations and access to private parties held at private residences or commercial venues. Any disagreements which arise from this agreement would be adjudicated in Clark County, Las Vegas. As a condition of membership, all members must adhere to the rules, policies, and general code of conduct as set forth by the organizers of Vertical Mile. Such rules, policies, and general Code of Conduct may change without notice. A copy of such rules, policies and general code of conduct is always available upon request. In addition, according to a schedule provided by Vertical Mile, a membership fee is encouraged based on a schedule published on the web site and available from Vertical Mile upon request. To attend Events, a member must be in good standing and in subjective good standing with the general code of conduct. Payments of membership fees are not mandatory. Membership requires that you maintain a valid email account. If you do not have an email account, Vertical Mile shall provide you a verticalmile.club or other Vertical Mile managed domain email address free of charge. Proof of Age must be presented upon attendance to events or experience, before downloading adult content, or before interacting with other club members on the vericalmile.club website.

Right to Deny, Suspend or Revoke Membership

Vertical Mile is a private member’s only group by association, reserves the right to deny membership at any time for reasons with or without cause. Vertical Mile may also revoke any couple or person’s membership without cause. Vertical Mile shall retain the right to suspend any membership on a temporary basis based on the recommendation of the staff, volunteers, Director of Membership, or the Membership Committee.

Privacy & Non-Disclosure

A standing and irrevocable policy of Vertical Mile pertains to the privacy of all parties to this agreement, and which is a specific agreement of non-disclosure. Upon becoming a member or attending an Event as a guest, all parties agree to a strict policy of non-disclosure. Such non-disclosure includes an agreement not to disclose and includes the names of other members who attend Vertical Mile Events, activities which occur at the Event, the location of the Event, and the names of those person(s) hosting the events or volunteering to assist with the organization and execution of the Events. Such non-disclosure also applies to the recording of conversations or activities either by taking digital or film pictures, recording audio, or creating video recordings with or without audio which are strictly forbidden at any time unless all parties agree to the recording prior to the event.

This agreement also is applicable to all forms of digital communications including, but not limited to, websites, e-mails, and information posted on both the group association or Vertical Mile’ website, blogs, forums, or other social networking sites whereby all parties executing this agreement agree not to forward, post, repost, or transmit in any digital format, any such materials which is considered private information. As part of this agreement, parties in violation of this agreement are liable for any and all damages caused by such disclosure, including but not limited to attorneys’ fees and any costs and expenses associated with the violation of any digitally transmitted, posted, or re-posted copies of any such disclosures. This agreement remains in effect even after the termination or voluntary relinquishment of a membership in order to protect the privacy in accordance with Nevada law of all members and guests.

Venue Policy, Event Policy & Code of Conduct

In addition to this agreement members and guests are expected to adhere to all Event and venue policies and the “Code of Conduct” for all Events. These policies are available upon request and may be subject to change without notice so members should request copies. Notices of change will go out to all members via email and will be printed in the Event Newsletter.

Email Address

A valid email address is required for membership. If you do not have an email address one may be provided for you. This is done both to validate members and to communicate any changes in membership status, changes in policy, or the Code of Conduct.

VERTICAL MILE CODE OF CONDUCT & POLICIES

Respectful Consent Based Behavior Required

Vertical Mile’s Experiences are for the purpose of consenting adults to socialize in a relaxed and supportive environment. All Members, be they a regular member or volunteers, are expected and required to show all other members RESPECT at all Vertical Mile’s Events. Unwanted advances; be they commercial, political, sexual, or otherwise, are prohibited and will not be tolerated at any Vertical Mile Event and are grounds for expulsion, possible suspension of membership or termination of membership without refund from an Event or Experience.

Privacy

Vertical Mile insists on members and guests adhering to the non-disclosure agreement which is intended to maintain the privacy of all parties. Cameras or any other recording devices for recording video, audio or still frame images are strictly prohibited unless agreed to by all participants prior to the experience or event.

Restrictions on Open Carry, Knives, & Other Weapons

No weapons (guns, knives, etc.) of any kind shall be allowed inside of an event or experience under any circumstance.

No Unlawful Activities Allowed

No Drugs Allowed anywhere in the vehicles, at events on-site or off-site, or used prior to entering the premises. No Prostitution Allowed on the premises, at events on-site or off-site, in the vehicles, under any circumstance.

Age Requirements

Individuals must be 21 years of age to become a member, to gain access to the property, and to participate in experiences or events.

Access to the Property

Vertical Mile reserves the right to deny access to the experiences, events, event venues, Vehicles, and public gatherings based on any violation of the Code of Conduct or violation of the Membership Agreement & Policies.
